1. Introduction
Welcome to Alavida Live (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, and communication features (the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Billing and payment processing for Alavida Live are handled by our parent company Paysource Direct Inc, which may appear on your receipts and credit card statements.
2. Overview of Service
Alavida Live provides subscription based access to customizable AI companions that can interact through text, audio, and phone enabled systems. The Service may include personalized communication, entertainment, practical assistance, and other interactive features powered through cloud based technologies.
Feature availability depends on your selected subscription and any additional token based usage.
3. Account Registration
To use Alavida Live, you must:

Be at least 18 years old

Provide accurate, current information during signup

Maintain the confidentiality of your credentials

Accept responsibility for all activity under your account
If you suspect unauthorized access, you must notify us immediately at support@alavidalive.com.
4. Subscription & Billing
4.1 General Subscription Terms
Access to most features of the Service requires an active paid subscription. Subscription benefits vary by plan but generally include monthly amounts of:

Phone talk minutes

Text message credits
-
AI generations
-
Companion phone numbers
-
Companion tokens or other usage allowances
Subscriptions renew automatically unless cancelled through your account dashboard.
4.2 Payments and Billing Provider
Payments are securely processed through third party providers such as Stripe.
All billing is handled by Paysource Direct Inc, and this name will appear on your bank or credit card statement.
4.3 Refunds and Billing Issues
Subscription fees and token purchases are non refundable except where required by law. If you believe you were billed incorrectly, you must notify us within 7 days of the charge.
4.4 Failed Payments
If a renewal payment fails, we may limit or suspend your account until payment is resolved. Repeated failures may lead to cancellation.
5. Token System and Usage Charges
Alavida Live uses a flexible token system to support features that exceed or fall outside your monthly subscription allowances.
5.1 What Tokens Are Used For
Tokens may be required for actions such as:

Additional phone talk minutes beyond your monthly balance

Additional text messages beyond your monthly balance

Additional AI generations beyond your monthly balance

Adding or activating new companion profiles or phone numbers

Other usage based features introduced in the future
Token rates for each type of action are shown in your dashboard and may change over time. We do not guarantee that any specific token cost will remain available.
5.2 Token Purchases
Tokens can be purchased as one time packages.
All token purchases are billed through Paysource Direct Inc and are non refundable.
5.3 Token Expiry
Purchased tokens do not expire while your account remains active.
If your account is cancelled or terminated, unused tokens may be forfeited.
5.4 Requirement for Active Subscription
Token usage and token purchases require an active subscription.
If your subscription lapses, you may lose access to certain features until reactivation.
6. Acceptable Use
You agree not to use the Service to:

Engage in illegal, harmful, or abusive behavior

Harass others through connected phone numbers or messaging
-
Send unsolicited messages or engage in spam

Impersonate another individual
-
Reverse engineer, disrupt, or interfere with the platform

Collect or transmit personal data without consent
Violation of these rules may result in suspension or termination.
7. AI Interaction and Limitations
The Alavida companion uses artificial intelligence to generate conversational content. You understand and agree that:

AI responses may be incomplete, inaccurate, or unexpected

Content generated by the AI should not be considered professional, medical, legal, or financial advice

You are responsible for monitoring your companion's use if connected to a business workflow

We do not guarantee specific outcomes, accuracy, or real time performance
8. Phone Number Integration
If your subscription or token usage includes access to phone numbers:

You must follow all telecom, privacy, and regulatory laws

You are fully responsible for the content of calls, texts, or recordings

You may not send unsolicited messages, marketing spam, or robocalls
-
We do not monitor your conversations except where legally required
-
Misuse of phone features may result in immediate suspension
9. Phone Number Integration
All software, code, branding, and platform design belong to us or our licensors. You receive a limited, non exclusive, non transferable license to use the Service while your subscription is active.
Any prompts, customizations, or user supplied content remain your property. You grant us a limited right to process this content for operation, troubleshooting, and service improvement.
10. Termination
10.1 Your Right to Cancel
You may cancel your subscription at any time through your dashboard. Access continues until the end of the current billing period.
10.2 Our Right to Suspend or Terminate
We may suspend or terminate your account if:

You violate these Terms

You misuse or abuse the Service

Repeated payments fail

Illegal or harmful activity is detected
Upon termination, access ceases immediately. We may retain data as required for security, legal obligations, and billing history.
11. Disclaimers and Limitation of Liability
The Service is provided “as is” without warranties of any kind.
We do not guarantee uptime, accuracy, reliability, or compatibility.
To the fullest extent allowed by law:

Our total liability is limited to the amount you paid in the last three months

We are not liable for indirect, incidental, or consequential damages

We are not responsible for losses resulting from reliance on AI generated content
12. Modifications to Service or Terms
We may update these Terms as the Service evolves. If changes are material, we will notify you by email or dashboard alert. Continued use after changes means you accept the revised Terms.
13. Compliance and Data Protection
We process data in accordance with our Privacy Policy. By using the Service, you consent to data processing in Canada, the United States, or other regions where our partners operate, subject to appropriate safeguards.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Any disputes arising from these Terms will be handled in the courts of Ontario, Canada, unless otherwise required by applicable law.
